（できる限りの）最善を尽くす

人なり会社組織として最大限の努力を（場合によっては非合理的であっても）する時に使う表現です。

【例文】

You should try to clear the record at best efforts.

強い表現で、相手に対して必ず果してもらう義務要項を強調するときに使われます。

この単語も契約関連の文書において非常によく使われます。ほとんどの場合費用や、支払ったり、立て替えたお金を払い戻すことを意味します。

An reimbursement must be done within ten days.

補償する

発生した費用、損害、賠償などの理由で一方が他方へその対価を支払う、補償・補填するときによく使われる単語です。

The damage should be indemnified by the insurance.

翻訳：損害は保険によって補償される。

故障

機械やソフトウェアが期待通り作動しない状態を意味します。

【例文】

機械やソフトウェアが間違えた動作をすることです。

保証

幅広く保証という意味で使われます。憲法による人権保証もこの用語で良いし、製品の動作保証もこの用語を使えます。

翻訳：成功は補償されていない。

discharge

免除する、弁済する、返済する、（義務を）履行する

かなり幅広い意味を持ちますので、翻訳者泣かせです。この単語が使われている前後の文脈、単語などから判断して適切な翻訳をする必要があります。契約書関連でない場合、一般的には水を吐き出すとか電気を放電する時にもdischargを使います。

She will be discharged from the military service.

免責する

義務や責任から免除されることを意味します。

【例文】

No one is exempt from grief.

翻訳：その会社は賠償責任を被らなくて良い。

immunity

法的免除、免責

この用語は契約書で使用されることが多く、exemptと共に使われます。

releaseは一般口語でもよく使用されますが、契約書関連で使う場合、特定の責任・義務より解放される、免除されるの様に使用します。

免責事項

法律用語としての意味は権利の放棄ですが、契約書で使われると免責事項という意味になり、この条項に書かれている内容に関して当事者の責任が問われないことになります。

【例文】

These are the accompanying disclaimers.

responsibility

（広義の）責任

この用語は幅広く使われるので意味がぼやける感があります。法律上の責任義務なのか、道義的責任義務なのか、あるいは契約書において規定されている責任と義務なのかいろいろな捉え方ができるのですが、契約書では意味をより明確にするため、liablity や　obligationの方が狭い範囲で捉えることができるので、これらを使うことがより多く見受けられます。

【例文】

Japan has a responsibility as a member of the international community.

obligation

（契約・法律、道義的な）義務

契約書の性格からして、責任と義務についての用語はいくつかありますが、この用語もよく使われます。

【例文】

A company has a legal obligation to draw up an annual report.

翻訳：会社は年次報告書を作成する法的義務を擁する。

All people have an obligation of tax.

翻訳：全国民は納税義務がある。

If there is an accessory obligation, it should be mentioned in a contract.

duty

（契約・法律、道義的な）義務

一般的に義務というとまずこの単語が浮かびますが、前後の文脈では貿易上の関税をも意味します。

【例文】

Paying taxed is everyone's duty.

翻訳：価格は税込みですか。（正確には関税の意味）

Who is a duty doctor?

関税分類

その商品に対する関税が何％であるのか、課税品目なのか非課税品目なのかは国際間取引を行う上ではコストに関わる大きな要素です。それを明確にすることがビジネスでは不可欠であり、関税分類表にて正しい関税率を計算します。

関税制度

systemという単語とくみになることで関税制度という意味になり、その国の関税制度に従う、などの場合に使用します。

翻訳：関税制度は国によっては複雑なことがある。

An importer must study carefully the duty system of the country.

tariff

関税

dutyとほぼ同じ意味で使われます。敢えて違いを言うのであれば、dutyは輸入関税を意味する場合が多く、tariffは輸出入のどちらの関税もその意味に含む、でしょうか。さらにdutyが支払うべき関税金額に主たる重きを置いた表現であるのに対し、tariffは関税表、関税率にその表現の主体がある、になります。

【例文】

The Government set a very high tariff on rice.

A hotel shows its tariff chart on the front board.

関税制度

systemという単語とくみになることで関税制度という意味になり、その国の関税体系に従う、などの場合に使用します。

【例文】

Special tariff system is applied on selected items.

翻訳：特例の関税制度がいくつかの分類に適用される。

A tariff system is different from county by country.

翻訳：関税制度は国にによってそれぞれ違う。

A political situation influences a tariff system.

翻訳：政治情勢が関税制度に影響している。

quota system

割当制度

輸入制限がある商品カテゴリーに対して国が規制している場合、割当制度が実施されます。Quotaにはノルマ、取り分という意味が元来あるので、契約書翻訳ではそれに該当する商品の輸入・輸出取引契約書作成時には、注意して詳細を期する必要があります。

【例文】

50% of the members are female because of the quota system.

翻訳：クオータ制により会員の５０％は女性です。

The full quota of our room is 100.

翻訳：部屋の定員は100人です。

A quota system does not allow all imports to satisfy market need.

翻訳：クオータ制が市場の需要を満たすだけの輸入を制限している。

liability

（法的）責任

responsibilityが幅広い責任を漠然と示しているのに対し、liablitiyは法的責任という明確な定義を持っているので使い勝手が良い単語です。

【例文】

All Korean men have liability for military service.

翻訳：全ての韓国男子は兵役の義務がある。

The company's liablity is exceeding the limit.

翻訳：その会社の債務は限界を超えている。

It is important to manage liability for a debt.

翻訳：債務責任をコントロールすることは重要です。

represent and warrant

宣言をして保証する

よくある例が売り手が買い手に対して契約で規定される条件において、その契約内容が売り手の意思を反映していることを宣言をし、同時にその条件でビジネスが進むことを保証する時に使われる表現で、定型文としてセットで使われることが多いです。

【例文】

A seller shows "represent and warrant" to a buyer.

翻訳：売り手は買い手に対して、その条件を提示する。

exclusivity

独占、他との共有をしない独占

契約書の中でも製品販売の独占権を与えるとか、ある販売地域の代理権を独占的に与える特ケースは多々あります。この様な場合、必ず使われる用語でがexclusivityです。

【例文】

Both companies signed on exclusivity contract.

翻訳：両社は独占契約を交わした。

A licensee receives an exclusivity right from a licensor.

翻訳：ライセンシーはライセンサーから独占権を得る。

limit of liability

責任の範囲、制限

義務を負わされる、負うことを明記するのは契約書のイロハですが、無限責任はあり得ないので、自社が責任を取れる範囲、取りたくない範囲を明確化することがとても重要です。

【例文】

In the contract, a limit of liablity needs to be cleary specified.

翻訳：契約書においては、責任の範囲が明確に記載されるべきである。

No company is responsible, beyond the limit of liability.

相互責任条項、交差責任条項

契約当事者双方に課せられる責任になります。

【例文】

Several cross liability clauses are set in this contract.

sole responsibility

唯一の責任（を負う）

契約書翻訳では契約条項に違反があった場合、その責任の所在を明確にすることがあります。その責任が契約者のどちらか一方が全て負う必要がある時には、唯一の責任者として明確に記載します。例えば契約する商品を同意した販売地域以外で販売した場合、それに対する賠償は販売者の唯一の責任になる、などです。

【例文】

A company X has a sole responsibility to this business.

翻訳：会社Xはこのビジネスに関しての全責任を負っている。

The agent agrees its sole responsibility if the product is sold out of its territory.

翻訳：代理店は販売割り当て地域外にてその商品が販売された場合、唯一の責任を取ることに同意する。

jointly and severally

連帯して責任を取る

この2つの副詞はペアで使われることで連帯責任、などの連帯を意味することになります。

翻訳：彼は連帯保証人です。

The parent company is jointly and severally liable for its subsidiary failure.

翻訳：親会社はその関連会社の損失に対して連帯責任がある。

One needs to take jointly and severally responsibility.

付与された

契約書でよく出てくる単語です。責任を付与される、販売権という権利を付与される、特許権の使用を付与される、などの表現では必ず使われる単語です。

【例文】

She is granted a great responsibility.

The company is granted a licence for a domestic business.

翻訳：その会社には国内ビジネスのライセンスが付与される。

A refugee was granted asylum in the US.

同意

agreementも同じ意味で使われますが、consent agreementという使い方もあり、利用許諾書を意味します。

通知

一般でも多用される用語で、契約書でも様々な通知を契約相手方より必要とする場合、詳細にそのタイミングを記載します。例として四半期ごとに売り上げデータを通知する、などがあります。

【例文】

Please read the notice at the entrance.

翻訳：入り口にある掲示を読んでください。

An agent needs to notice to the supplier every quarter.

翻訳：代理店は四半期ごとにサプライヤーに対して通知する必要がある。

implied warranty

暗黙の（黙示された）保証

この表現は契約書に具体的に詳細が書かれていなくても一般常識、業界習慣や法律の規定により保証されている、という意味です。反対用語はexpressedになります。

【例文】

In US, there is an implied warranty of merchantability.

翻訳：米国には、商品性の黙示保証がある。

A manufacturer needs to maek an implied warranty of its product.

翻訳：製造業者はその製品に対する黙示の保証をする必要がある。

usage of trade

取引慣行

不文であっても商習慣として行われいる、或いはその業界では通常以前より慣例として行われていることを指します。Usage単体でも（法律）慣習法という意味を持ちます。

【例文】

翻訳：どの国でも独自の取引慣行がある。

To do an international business properly, we should respect an usage of trade in each country.

履行過程

dealは取引を意味するので、その契約において実務がどの様に履行されるかの流れを意味する場合に使われる表現です。

【例文】

A lawyer pays necessary observation to the course of dealing.

翻訳：弁護士は履行過程に注意を払う。

In contract, the course of dealing is spesified in detail.

翻訳：契約書に、その履行過程が詳細に記される。

The course of dealing needs to be determined by both parties.

翻訳：履行過程は両者の合意で決められる必要がある。

業界標準

複数形で使います。

【例文】

The industry standards are set by the association.

翻訳：業界標準が協会によって定められる。

All business people respect the industry standards.

翻訳：全ての業界人は業界標準を順守する。

Competitors are fighting to set a new industry standards.

翻訳：競合各社は新規の業界標準を設定すべく激しい競争をしている。

declare and guarantee

宣言（表明）して保証する

契約書では2つの動詞、形容詞、副詞をandで繋いで強調する表現方法がよく使われます。

【例文】

The company declares and guarantees the quality of the product.

翻訳：その会社は製品品質に関して宣言して保証する。

latent defect

目に見えない隠れた瑕疵

商品の売買契約ではバイヤーが受け取り時に着荷検査をしても発見できない瑕疵が生じる場合があります。その状態を意味する用語です。

【例文】

The product has latent defects from the beginning.

翻訳：その製品は当初から潜在的欠陥を持っている。

A latent defect needs to be found carefully.

互換性

コンピュータ関連の契約書で頻繁に出てきます。異なるハードウェアでも同じソフトウェアが動作する場合、互換性があると言います。互換性がないと、多くのハードウェアで使用ができなくなる恐れがあるので、契約書においてソフトウェア販売代理販売権などを得る場合、互換性があるかに関する取り決めは明確にしておかねばなりません。

【例文】

Two different Operational Systems do not have compatibility.

翻訳：2つの違ったOSは互換性がない。

Before implementation, Compatibility assessment has to be done.

翻訳：実行の前に、互換性評価がなされなければならない。

Antisocial group　(clause)

反社会的組織 （条項）

契約書には必ず入ってくる条項です。国内のみならず、国際的にも反社会組織とのつながりのある相手との契約はできません。そこで自社と相手がその様な組織でないことを宣言する条項になります。

【例文】

We declare that we are not related to antisocial group.

翻訳：私達は反社会的組織に関係していません。

A police chases an antisocial group with big effort.

翻訳：警察は多大な努力で反社会的組織を追及している。

damages/damage

損害賠償額・損害

ダメージは日本語でも普通使われますが、契約書で使用されると単数と複数で意味が少し違ってきます。単数では単に損害という意味になり、複数になると賠償額と金額を含んだ意味になります。保険関連の契約書ではさらに、 Ordinary damage(通常損害）、Incidental damage(付随損害）、Direct damage(直接損害）の様な使い方をします。

【例文】

Direct damage is covered by the insurance.

翻訳：直接損害は保険にてカバーされる。

Damages are huge in case of earthquake last year.

翻訳：昨年の地震による被害額は莫大な金額になる。

Damage should be controlled by scientific method.

翻訳：被害は科学的方法によって管理すべきである。

warranty / indemnification

保証と補償

日本語では両方になりますが、英語での意味合いは違ってきます。Warrantyは製品などに不具合が発生した時にメーカーや販売店が行う保証を意味し、indemnificationは権利などが妨害、侵害された場合に対する補償を意味します。

【例文】

The Government covers an indemnification against atomic energy risk.

翻訳：政府は原子力災害補償を請け負う。

Designers are entitled by the intellectual property indemnification.

翻訳：デザイナーは知的財産の補償を受ける権利がある。

A product has basic warranty of the manufacturer.

免失利益

本来得れるべき利益が何らかの理由により得られない時の表現です。

法律でよく使われる用語で、ペナルティとして課せられる賠償金を意味します。契約書でもよく出てくる用語なので以下にいつくかの例を挙げておきます。

幅広く使える用語です。契約不履行、契約破棄、契約違反、などを表す時いずれもbreachを使います。

他にも捺印証書や協定という意味も持ちます。

営業権、のれん、善意

契約書で使われる時には営業権という意味合いが多いですが、多くの契約書の最後の方で、将来において両者間に争いが生じた際には、goodwillを持って（善意でもって）その解決に努力する、という条項が描かれることもあります。

差し止め命令

injunctiveは命令的なという意味ですが、契約書関連用語として使用する場合、差し止め、という日本語になります。背景には法律による差し止め、を意味しており契約相手が契約を履行しない場合、裁判所や政府による差し止め要求をすることになります。

An action for an injunctive order may be filed.

翻訳：差し止めへの訴えが提起される。

差し止めによる救済

同じく、法律により特別な救済を受けることを意味します。

契約書特有な表現になります。契約者の一方が販売代理店の場合、そのプロモーション努力によりそのビジネスが成功するのであれば、このフレーズを使います。

雇用契約書で使われる表現です。会社側にとって従業員が不正行為、禁止行為などを犯した場合、解雇対象になり、その規定を契約書で記述する際に使われます。

mannerを使った表現です。Professionalyでも意味は同じですが、契約書ではこの表現が好まれている様です。

適時に

同じくmannerを使った用語で、いつと規定するのでなくその場の判断で良いと思われた時に、という意味になります。

The information is provided to the operator in a timely manner.

翻訳：情報が適時に運転者に対し与えられる。

主契約、本契約、基本契約

契約が大きな提携の時は、まず基本契約を結んで両者が基本合意と核となる項目のみ契約し、個別ビジネスについてはその子契約や個別契約を結ぶことが普通です。その場合、基本になる契約のことを指します。

基本契約を結んだ後、適宜必要に応じてその事業・ビジネスに特化した条件を契約する場合に結ばれます。

契約レベルに至らない場合、話した内容や口頭で同意した件について文面に書いたものです。この内容が後日結ばれる正式契約の元になることがあるので、覚書とはいえ、その内容は自分の不利になる内容にはしたくないものです。

agreeという同時は一般的にはには同意する、という日本語訳になりますが、契約書で名詞として使用されると契約書というコントラクトと同じ意味で使われることが多いです。

一般用語で契約書に使われる時には、契約書の出だしのところで、その契約書内にて使用される用語の定義を行います。

翻訳：その定義は矛盾しています。

confidentiality

秘密、機密

契約書内容の第三者への開示禁止など、契約をすることで両者が開示し合う秘密情報に関しての規定をする時に使用される用語です。通常は秘密情報とはどの様な情報であるかの定義（definition)を行い、誰に対して開示してはならないかを記述します。また裁判所、政府機関より正当な理由にて開示請求があった場合には、この条項があったとしても開示を行う旨、書き入れます。

【例文】

In recent business, Confidentiality agreement is common to define.

翻訳：現代ビジネスでは、守秘義務契約を定義することは当たり前である。

We use reasonable measures to maintain the confidentiality.

不可抗力

フランス語が語源の用語で、契約書ではお馴染みの用語です。契約当事者の努力範囲を超える事情で契約内容が守れない場合に、その責任を追わないことを意味します。不可抗力とは一般的には、戦争、天災（地震、津波、予期できない天候異変）、自分の力では防げない事故などをさします。

【例文】

An insurance company is not liable to compensate the losses due to force majeure.

翻訳：保険会社は不可抗力による損害に対しては賠償責任がない。

An idea of force majeure is common concept internationally.

翻訳：不可抗力という考え方は国際的に共通する概念である。

It is necessary to check what damages are included in force majeure.

（契約）期間

一般用語です。単語には用語、術語という意味もありますが、契約で使用される場合は契約期間を意味します。

【例文】

翻訳：契約期間はどの様になっていますか。

The autumn term starts from September.

翻訳：秋学期は９月から始まる。

A payment term is very strict.

翻訳：支払い期間がとても厳しい。

（契約）終了、解除

これも一般用語で、終わる、という意味ですが、契約書ではその契約が終了する事象を意味し、termination clauseとしてその契約がどの時点を持って効力を失うのかを日付を具体的に示します。契約での縛り条項がその時点で全て無くなりますので、とても重要な項目で、契約書には必ず明記します。

通知

契約書の相手に特別に通知することがある場合に記する項目です。

【例文】

The special notice is announced today.

翻訳：特別通知が本日発表される。

The letter gave notice that my contract had been terminated.

翻訳：通知は契約が既に切れていることを告げていた。

governing law

準拠法

国際間企業における契約書では必ず発生する項目です。契約書当事者間で争いが起きた場合、最悪なケースでは裁判になります。その時、どの国の法律に従って裁かれるのかは非常に大きなポイントです。通常は契約書を書き起こした側が自分の国の法律に従いたいので、自国の法律にて裁かれると書きますが、それでは将来問題になりそうな場合、契約締結の前に十分な協議をする必要があります。

【例文】

The governing law of this agreement is Japan.

翻訳：この契約の準拠法は日本国である。

Choice of governing law by the Parties should be considered well.

翻訳：当事者による準拠法の選択はよく考慮されなければならない。

jurisdiction

法的管轄権、裁判管轄権

法的管轄、裁判管轄を意味する用語で、法律関連の文書に多用されます。契約書翻訳では、紛争が契約当事者間で起きた際にどこの裁判所で調停を進めるかが重要事項となるため、この管轄がどこにあるのかを事前に決めることが重要になってきます。

【例文】

It is my jurisdiction.

翻訳：それは私の管轄である。

The court of appeal exercised its jurisdiction to order a review of the case.

翻訳：上告裁判所は、その司法権の下、その案件の再審を命じた。

A state police can not chase the criminal beyond its own state line due to its jurisdiction.

翻訳：州警察はその管轄圏の制限により州境を超えて犯人を追うことができない。

waiver

（権利などの）放棄

契約書において自分の権利と明記されている場合でも、状況によってはその権利を放棄したい場合が生じることがあります。その対応として事前に契約書内にて放棄する権利を追記しておくことができます。

【例文】

Annual fee and waiver is allowed to people who lost the houses.

翻訳：家を失った人には、年次料金と権利放棄が認められる。

Due to Visa waiver program, Japanese tourist can enter to USA without having Visa.

翻訳：ビザ放棄プログラムにより、日本人旅行者はビザを持たないでアメリカへ入国できる。

severability clause

可分条項

契約の一部の条項が法律に抵触したり、強行法規の通用によって無効になってもその他の規定の効力に影響を与えないことを明記したい場合、この条項を追記します。

【例文】

Exceptional conditions are specified in severability clause.

翻訳：例外条件が可分条項に特記される。

anti social force

反社会的勢力

最近では世界どこへ行っても暴力団、あるいはそれに類する組織と法的な契約書は結ぶことはできません。したがって契約書の提携条項として必ず反社会的勢力でないという自己宣言をする項目があります。

【例文】

Anti social force must be kicked out of the community.

翻訳：反社会的勢力は社会から排除されなければならない。

In normal agreement, Parties declare that they are not a part of anti social force.

翻訳：契約においては通常、当事者は反社会的勢力でないことを宣言する。

①shall

義務を表す場合に使用

英語ではshallの表現を一般文ではあまり使わないのですが、契約書ではよく出てくる単語で翻訳者の力量が試される用語です。1つ目の意味はshallの主語である主体がshall以下の事柄を実行しなければいけない、という義務を表現する時に使われます。

【例文】

Party A shall obtain the approval of the authority.

翻訳：当事者Aは当局の承諾を得る義務がある。

The buyer shall implement important conditions shown by the seller.

翻訳：買い手は売り手が提示する重要な条件を実行しなければならない。

A defendant shall follow the verdict by the judge.

翻訳：被告は裁判官の判決に従わなくてはならない。

②shall

禁止を意味する場合に使用

もう1つが、shall notとして、してはならない（禁止される）という意味です。Shallの主語である主体がshall以下の事柄をしてはいけない、になります。

【例文】

She shall not go over the point.

翻訳：彼女はその地点を超えてはならない。

Students shall not act as free as they want.

翻訳：学生は彼らが欲するままに自由に行動してはならない。

権利を表す使い方

mayの主語である主体がmay以下の意味に対する権利を保有する、という使い方になります。

You may not take pictures in the museum.

翻訳：博物館内では写真を撮ってはいけません。

We may travel to any country we want.

翻訳：好きな国へ旅行することができる。

②may

許可を表す使い方

mayの主語である主体がmay以下の意味に対する権利を許可される、という使い方になります。

【例文】

You may enter this room.

翻訳：あなたはこの部屋へ入ってもよろしい。

May I use the bathroom?

翻訳：トイレを使用しても良いでしょうか。

May I ask you a personal question?

翻訳：個人的質問をしてもよろしいでしょうか。

並びに、もしくは、両方のどちらかの場合で、

よく出てくる表現で、and/orの前後の両方の意味を合わせて使われます。A and/or Bでは、AとBの両方、あるいはどちらか一方。。。。。になります。

名詞の前におかれ、この契約では、本契約では、の意味を形成します。契約書独特の用語です。

翻訳：ここにつけられたチャートが必要な全てのポイントを説明している。

The contract hereto detailed is basic business agreement.

翻訳：ここに詳細が記された契約書はビジネス基本合意である。

本契約の

名詞の前におかれ、この契約では、本契約では、の意味を形成します。契約書独特の用語です。Heretoと同じ意味です。

【例文】

The provisions of this paragraph hereof shall apply mutually.

翻訳：この項目にある規定は相互に適用される。

Renewal of registration shall be recorded and a notice hereof published.

翻訳：登録更新は公式に記録され、その旨が公告される。

本契約書上

hereが意味するのはこの契約書、であり、underと組み合わされることで、この契約書上、になります。

【例文】

その後

同じくhereはこの契約書のことなので、todayとかnowという時を表す単語と一緒に使うことで、本契約書締結日現在、もしくはその後に、の様に使用します。

この契約が締結された日＝＞契約日

hereofの典型的な使用例です。Hereof が本契約ですから、本契約の日、つまり契約締結日という意味になります。

【例文】

翻訳：公示の日より実効となる。

therein

通常は事前に出た語句を指す

英語は同じ表現を繰り返して使うことを嫌う傾向があります。特に法律家が書く文章には伝統的にその傾向がみられ、別の表現を用いたり、指示代名詞などで置き換えます。Thereinの場合も長い文章の前半、あるいは前の文章で使った長い説明文を繰り返さないで表現する時に使われます。

【例文】

Therein lies the truth.

翻訳：そこに真実がある。

The parties to the proceedings shall participate therein.

翻訳：手続きの当事者はそれに参加しなければならない。

The first storage device stores the operationg system therein.

翻訳：第一ストレージがOSを格納する。

thereafter

以後も〜

契約内容がその契約期間を定義する時、いつまで有効な契約であるかを明示しますが、その後も自動延長などと追記したい時には、契約内容を繰り返さず、thereafterを使うことで、同じ契約内容を最初に設定する期間が過ぎても有効であると表現できます。

翻訳：その後彼からの便りはなかった。

にも関わらず

この単語も契約書独特です。一般にはinspite of, despiteの方がよく使われますが、形式を重んじる契約書ではnotwithstangingという単語をよく見かけます。

Notwithstanding manager's disapproval, the team wanted to implement the project.

翻訳：マネージャーの反対にもかかわらず、チームはそのプロジェクトを推進したかった。

を対価として

considerationは考慮という意味が一般ですが、契約書で使われる時には対価を意味し、in、ofと組み合わせることで、〜の対価として、〜を行う、という表現になります。

~を要因として

一般にも使われています。〜の理由で、〜のために、の意味ですが、契約書翻訳でも見かける表現です。

翻訳：雨の為、イベントは延期された。

The contract was cancelled due to the violation of promises.

翻訳：約束違反のため、契約は解約された。

One needs to try hard due to victory.

重大違反

materialには物質という意味が一般的ですが、契約書で使われるとvitalの様に重大な、という形容詞になります。

【例文】

A member of the management team may be released from his duty due to material breach.

翻訳：経営チームのメンバーは背任によりその役職を解かれる。

The party sues the other party because the other party makes material breach.

翻訳：相手方が重大な違反を犯したので、もう一方の当事者により訴えられる。
